Welcome to Mindful Velocity Media. These Terms of Service ("Terms") govern your use of our website, mindfulvelocitymedia.com (the "Site"), and the services we offer. By accessing the Site or engaging our services, you agree to be bound by these Terms and our Privacy Policy.

1. Agreement to Terms
By using the Site or booking our services, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately.

2. Description of Services
Mindful Velocity Media ("we," "us," "our") provides strategic technology and media consulting for Independent Financial Advisors. Our services include, but are not limited to:

• The "Practice Discovery & Systems Blueprint": A paid, mandatory initial diagnostic and strategic planning session.
• "Advisor's OS" Implementation: The design and build of a custom operating system for advisory firms.
• Video Production Services: The creation of professional video content for marketing and educational purposes.

All services are subject to the terms outlined herein and may be further governed by a separate Statement of Work (SOW) or client agreement for larger projects.

3. Fees, Payment, and Cancellation
a. Practice Discovery & Systems Blueprint: Our engagement process begins with a mandatory, paid "Practice Discovery & Systems Blueprint" session ("Blueprint Session").
• Fee: The fee for the Blueprint Session is $2,000 USD, payable in full at the time of booking to reserve your session.
• Non-Refundable: This fee is for a professional service that includes significant preparation and the delivery of a valuable, strategic deliverable (the "Systems Blueprint" document). Therefore, the $2,000 fee is non-refundable once the session is completed.
• Cancellation & Rescheduling: You may reschedule your Blueprint Session at no additional cost provided you give us at least forty-eight (48) hours' written notice. Cancellations or rescheduling requests received with less than 48 hours' notice will result in the forfeiture of the full session fee.

b. Other Services: All other services, including the "Advisor's OS" Implementation and Video Production packages, will be billed according to the terms outlined in a separate, signed client agreement or Statement of Work (SOW).

4. Intellectual Property Rights
a. Our Content: Unless otherwise indicated, the Site and all of its content, including source code, text, graphics, and logos (collectively, the "Content") are our proprietary property, protected by copyright and trademark laws. You are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.
b. The "Systems Blueprint" Deliverable: Upon your full payment for the Blueprint Session, we grant you a perpetual, non-exclusive, non-transferable license to use the "Systems Blueprint" document for your own internal business purposes. You may not reproduce, resell, publish, or distribute the Blueprint document or the methodologies contained within it to any third party without our prior written consent.
c. Video Production Deliverables: Upon your full payment for any video production services, you (the "Client") will own the final, delivered video files. We (Mindful Velocity Media) retain the right to use the final videos, as well as clips and behind-the-scenes footage, in our professional portfolio, on our website, and for our own marketing and promotional purposes.

5. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:
• Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
• Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

6. Third-Party Websites and Content
The Site may contain links to other websites ("Third-Party Websites"). Such Third-Party Websites are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Site.

7. Term and Termination
These Terms of Service shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND OUR SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

8. Disclaimer of Warranties
THE SITE AND OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF.

9. Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES.

10. Governing Law
These Terms shall be governed by and defined following the laws of the State of Florida, without regard to its conflict of law principles.
